Terms of Service (TOS)

These HOSTLANTIC Terms of Service (TOS) comprise of terms of service, billing policy and acceptable use of our services. They govern your purchase and use of all HOSTLANTIC services, as described in the Order Form(s) submitted by you and accepted by HOSTLANTIC. You must register and accept the terms of services in order to use our services. BY CLICKING ON THE "I ACCEPT" BUTTON BELOW, AND/OR REGISTERING FOR AND USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT.

HOSTLANTIC may modify any of the terms and conditions contained in this TOS at any time in its sole discretion. Any modifications are effective upon posting of the revisions on the HOSTLANTIC web site. Your continued use of the services following HOSTLANTIC's posting of any modifications constitutes your acceptance of the modifications. If you do not agree to the terms of any modification, do not continue to use the services and immediately notify HOSTLANTIC of your termination of this Agreement.

  1. Domain Name Registration

    1. Customer agrees to pay Hostlantic prior to the effectiveness of the desired domain name registration, the then-current amounts set forth in the Hostlantic price schedule for the initial registration of the domain name and, should Customer choose to renew the registration, subsequent renewals of the registration. All fees are non-refundable, in whole or in part, even if Customer's domain name registration is suspended, cancelled or transferred prior to the end of Customer's then current registration term.
    2. Hostlantic reserves the right to change fees, surcharges, renewal fees or to institute new fees at any time, for any reason, at its sole discretion. Customer's requested domain name will not be registered unless and until we receive actual payment of the registration fee, and have confirmed Customer's registration in an email from Hostlantic to the email address indicated in Customer's registration application.
    3. In the event of a charge-back by a credit card company (or similar action by another payment provider allowed by Hostlantic) in connection with the payments of the registration fee for Customer's domain name registration, Customer agrees and acknowledges that the domain name registration shall be transferred to Hostlantic as the paying entity for that registration to the registry and that we reserve all rights regarding such domain name including, without limitation, the right to make the domain name available to other parties for purchase. Hostlantic will reinstate Customer's domain name registration solely at Hostlantic's discretion, and subject to our receipt of the initial registration or renewal fee and our then-current reinstatement fee.

  2. IP Address Ownership

    Hostlantic shall maintain and control ownership of all IP numbers and addresses that may be assigned to you by Hostlantic. Hostlantic reserves, in its sole discretion, the right to change or remove any and all such IP numbers and addresses.


  3. Backup of Data

    Except where Hostlantic has expressly agreed in writing to the contrary, customers are solely and entirely responsible, and Hostlantic is in NO way responsible, for the management and backup of all customer data, and all updates, upgrades, and patches to any software that customers use in connection with Hostlantic services. Hostlantic has the right to erase all files upon termination of service.


  4. Reservation of Rights

    1. HOSTLANTIC reserves the right to cooperate with appropriate legal authorities in investigations of claims of illegal activity involving HOSTLANTIC 's Services, Customers and other Users.
    2. HOSTLANTIC reserves the right to refuse, cancel or suspend any service at our sole discretions.
    3. HOSTLANTIC reserves all other rights to respond to violations of this TOS to the extent of applicable law and in accordance with any applicable contractual obligations. HOSTLANTIC may utilize technical means to monitor communications into, and out of, its network facilities to prevent the introduction of viruses or other hostile code, to prevent intrusions and otherwise to enforce this TOS and each Customer agrees that HOSTLANTIC is authorized to monitor its communications through HOSTLANTIC s network for such purposes.

  5. Trademarks and Proprietary Rights

    HOSTLANTIC (SM) and other pending and/or registered trademarks and service marks, and other graphics, logos, and service names used by HOSTLANTIC in connection with the Services or other products or services offered by HOSTLANTIC and its subsidiaries and affiliates, to identify the products or Services of HOSTLANTIC or its subsidiaries and affiliates are the trademarks of HOSTLANTIC and its subsidiaries and affiliates. You agree not to use the HOSTLANTIC Trademarks in connection with your products or services, or any third-party's products or services, or in any manner that disparages or discredits HOSTLANTIC) All other brands and names (including third-party product names) used in connection with the Services or other products or services offered by HOSTLANTIC and its subsidiaries and affiliates are the property of their respective owners.

    HOSTLANTIC acknowledges that it claims no proprietary rights in Your Content or any intellectual property right contained therein. You acknowledge and agree that HOSTLANTIC and its licensors own all right, title, and interest in: (a) the Services and any other products or services offered by HOSTLANTIC and its subsidiaries and affiliates; (b) the technology available to you as part of the Services; (c) and all content, including but not limited to text, software, music, sound, photographs, video, graphics, or other material contained or maintained on the websites maintained by HOSTLANTIC and its subsidiaries and affiliates, excluding Your Content.


  6. Static / Dynamic Content Caching

    You expressly (i) grant to Hostlantic a license to cache the entirety of your Web Site, including content supplied by third parties, hosted by Hostlantic under this TOS and (ii) agree that such caching is not an infringement of any of your intellectual property rights or any third party's intellectual property rights.


  7. License

    1. This Section applies to you only if you use software licensed to you in connection with the Services and is in addition to and not in lieu of all other Terms of Service that govern your Services. In connection with the Services, HOSTLANTIC may make available to you the HOSTLANTIC Content, certain technology and software owned by HOSTLANTIC or third parties (which may include corresponding documentation, associated software components, media, printed materials, and "online" and electronic documentation and all updates and upgrades thereto) (the "Licensed Material"). You agree that the Licensed Material is the exclusive property of HOSTLANTIC and its licensors and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
    2. HOSTLANTIC grants to you the non-exclusive right to install the Licensed Material on a single computer; or install and store the Licensed Material on a single storage device, such as a network server, used only to install the Licensed Material on your other computers over an internal network, provided you have a license for each separate computer on which the Licensed Material is installed and run. The Licensed Material is licensed, not sold) The license for the Licensed
    3. Material may not be shared, installed or used concurrently on different computers.
    4. Licensed Material is distributed along with other HOSTLANTIC Licensed Materials as part of a suite of products (collectively, the "Suite"), the license of the Suite is licensed as a single product and none of the products in the Suite, including the Licensed Material, may be separated for installation or use on more than one computer.
    5. You may not remove or alter any copyright notices on any copies of the Licensed Material. You may not make or distribute copies of the Licensed Material to third parties or electronically transfer the Licensed Material from one computer to another or over a network. You may not alter, merge, modify, adapt or translate the Licensed Material, or reverse engineer, decompile, or disassemble the Licensed Material, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You may not modify the Licensed Material or create derivative works based upon the Licensed Material. You may not sell, rent, lease, lend, assign, transfer or sublicense the Licensed Material. You must comply with all applicable laws regarding use of the Licensed Material.
    6. HOSTLANTIC may provide you with support services related to the Licensed Material ("Support Services"). Use of Support Services is governed by the Terms of Service. Any supplemental software code HOSTLANTIC provides to you as part of the Support Services will be considered part of the Licensed Material and subject to the terms and conditions of this License. With respect to technical information you provide to HOSTLANTIC as part of the Support Services, HOSTLANTIC may use such information in compliance with its Privacy Policy.
    7. Without prejudice to any other rights, HOSTLANTIC may, in its sole and exclusive discretion, terminate this License if you fail to comply with the terms and conditions of this License. In such event, you must destroy all copies of the Licensed Material. All other rights of both parties and all other provisions of this License will survive any termination.
    8. The foregoing license gives you limited license to use the Licensed Material. HOSTLANTIC and its licensors retain all right, title and interest, including, but not limited to, copyright and intellectual property rights, in and to the Licensed Material and any copies thereof. All title and intellectual property rights in and to the content that may be accessed through use of the Licensed Material are the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This License grants you no rights to use such content. HOSTLANTIC and its licensors reserve all rights not expressly granted)
    9. The Licensed Material is provided with "RESTRICTED RIGHTS" applicable to private and public licensees alike. Without limiting the foregoing, use, duplication, or disclosure by the United States Government is subject to restrictions as set forth in this License and as provided in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software Restricted Rights at 48 CFR 52.227-19, as applicable.
    10. You agree that you will not export or re-export the Licensed Material to any country, person, entity or end user prohibited by the United States Export Administration Act and the regulations promulgated thereunder. Restricted countries currently include, but are not necessarily limited to Afghanistan, Cuba, Iran, Iraq, Libya, North Korea, Sudan, and Syria) You represent and warrant that neither the United States Bureau of Export Administration nor any other federal agency has suspended, revoked or denied your export privileges.
    11. The Licensed Material may contain third party software that require notices and/or additional terms and conditions. All required third party software notices and/or terms and conditions are made a part of and incorporated by reference into this License. By accepting this License, you are also accepting the additional terms and conditions, if any, set forth therein.

  8. Notices

    It is your responsibility to provide accurate and complete account and contact information, including a valid e-mail address, to HOSTLANTIC during the Sign-up Process. It is also your responsibility to inform HOSTLANTIC promptly of any changes to your account or contact information. HOSTLANTIC has no responsibility for communications that are misdirected as a result of your failure to provide HOSTLANTIC with updated contact information or as a result of the suspension or termination of your Services.

    HOSTLANTIC may provide notice to you required by this Agreement via e-mail at the address provided by you. You agree that notice to you at this address is deemed sufficient regardless of your receipt of such email.


  9. Disclaimer of Warranty

    Customer agrees to use all Services and any information obtained through or from HOSTLANTIC at Customer's own risk. Customer acknowledges and agrees that HOSTLANTIC exercises no control over, and accepts no responsibility for, the content of the information passing through HOSTLANTIC 's host computers, network hubs and points of presence or the Internet.

    THE SERVICES PROVIDED UNDER THIS AGREEMENT ARE PROVIDED ON AN AS IS, AS AVAILABLE BASIS. NONE OF HOSTLANTIC, ITS PARENT, SUBSIDIARY OR AFFILIATED CORPORATIONS, OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS, AFFILIATES, AGENTS, ATTORNEYS, SUPPLIERS, THIRD-PARTY INFORMATION PROVIDERS, MERCHANTS, LICENSORS OR THE LIKE (EACH, AN " HOSTLANTIC PERSON") MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, FOR THE SERVICES OR ANY EQUIPMENT HOSTLANTIC PROVIDES. NO HOSTLANTIC PERSON MAKES ANY WARRANTIES THAT THE SERVICES WILL NOT BE INTERRUPTED OR ERROR FREE; NOR DO ANY OF THEM MAKE ANY WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICES OR MERCHANDISE CONTAINED IN OR PROVIDED THROUGH THE SERVICES. HOSTLANTIC IS NOT LIABLE, AND EXPRESSLY DISCLAIMS ANY LIABILITY, FOR THE CONTENT OF ANY DATA TRANSFERRED EITHER TO OR FROM CUSTOMER OR STORED BY CUSTOMER OR ANY OF CUSTOMER'S CUSTOMERS VIA THE SERVICES PROVIDED BY HOSTLANTIC; NO ORAL ADVICE OR WRITTEN INFORMATION GIVEN BY ANY HOSTLANTIC PERSON WILL CREATE A WARRANTY; NOR MAY YOU RELY ON ANY SUCH INFORMATION OR ADVICE; The terms of this section shall survive any termination of this Agreement.


  10. Limited Warranty

    HOSTLANTIC represents and warrants to Customer that the Services will be performed (a) in a manner consistent with industry standards reasonably applicable to the performance thereof; (b) at least at the same level of service as provided by HOSTLANTIC generally to its other customers for the same services; and (c) in compliance in all material respects with the applicable Service Descriptions. Customer will be deemed to have accepted such Services unless Customer notifies HOSTLANTIC, in writing, within ten (10) days after performance of any Services of any breach of the foregoing warranties. Customer's sole and exclusive remedy, and HOSTLANTIC 's sole obligation, for breach of the foregoing warranties shall be for HOSTLANTIC, at its option, to re-perform the defective Services at no cost to Customer, or, in the event of interruptions to the Services caused by a breach of the foregoing warranties, issue Customer a credit in an amount equal to the current monthly service fees pro rated by the number of hours in which the Services have been interrupted. HOSTLANTIC may provision the Services from any of its data centers and may from time to time re-provision the Services from different data centers.

    The foregoing warranties shall not apply to performance issues or defects in the Services (a) caused by factors outside of HOSTLANTIC 's reasonable control; (b) that resulted from any actions or inactions of Customer or any third parties; or (c) that resulted from Customer's equipment or any third-party equipment not within the sole control of HOSTLANTIC, EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION, HOSTLANTIC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES OR ANY SOFTWARE PROVIDED UNDER THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, AND HOSTLANTIC HEREBY EXPRESSLY DISCLAIMS THE SAME. WITHOUT LIMITING THE FOREGOING, ANY THIRD-PARTY SOFTWARE PROVIDED TO CUSTOMER HEREUNDER IS PROVIDED "AS IS" WITHOUT ANY CONDITION OR WARRANTY WHATSOEVER. HOSTLANTIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE.


  11. Limitation of Liability

    IN NO EVENT WILL HOSTLANTIC 'S LIABILITY IN CONNECTION WITH THE SERVICES, ANY SOFTWARE PROVIDED HEREUNDER OR ANY ORDER, WHETHER CAUSED BY FAILURE TO DELIVER, NON-PERFORMANCE, DEFECTS, BREACH OF WARRANTY OR OTHERWISE, EXCEED THE AGGREGATE SERVICE FEES PAID TO HOSTLANTIC BY CUSTOMER DURING THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

    HOSTLANTIC CANNOT GUARANTEE CONTINUOUS SERVICE, SERVICE AT ANY PARTICULAR TIME, INTEGRITY OF DATA, INFORMATION OR CONTENT STORED OR TRANSMITTED VIA THE INTERNET. HOSTLANTIC WILL NOT BE LIABLE FOR ANY UNAUTHORIZED ACCESS TO, OR ANY CORRUPTION, ERASURE, THEFT, DESTRUCTION, ALTERATION OR INADVERTENT DISCLOSURE OF, DATA, INFORMATION OR CONTENT TRANSMITTED, RECEIVED OR STORED ON ITS SYSTEM.

    EXCEPT AS EXPRESSLY PROVIDED BELOW, NEITHER PARTY SHALL BE LIABLE IN ANY WAY TO THE OTHER PARTY OR ANY OTHER PERSON FOR ANY LOST PROFITS OR REVENUES, LOSS OF USE, LOSS OF DATA OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS, LICENSES OR SERVICES OR SIMILAR ECONOMIC LOSS, OR FOR ANY PUNITIVE, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR SIMILAR DAMAGES OF ANY NATURE, WHETHER FORESEEABLE OR NOT, UNDER ANY WARRANTY OR OTHER RIGHT HEREUNDER, ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE OR NON-PERFORMANCE OF ANY ORDER, OR FOR ANY CLAIM AGAINST THE OTHER PARTY BY A THIRD PARTY, REGARDLESS OF WHETHER IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIM OR DAMAGES.

    The limitations contained in this Section apply to all causes of action in the aggregate, whether based in contract, tort or any other legal theory (including strict liability), other than claims based on fraud or willful misconduct.

    Notwithstanding anything to the contrary in this Agreement, HOSTLANTIC 's maximum liability under this Agreement for all damages, losses, costs and causes of actions from any and all claims (whether in contract, tort, including negligence, quasi-contract, statutory or otherwise) shall not exceed the actual dollar amount paid by Customer for the Services which gave rise to such damages, losses and causes of actions during the 12-month period prior to the date the damage or loss occurred or the cause of action arose.

    Customer understands, acknowledges and agrees that if HOSTLANTIC takes any corrective action under this Agreement because of an action of Customer or one if its customers or a reseller, that corrective action may adversely affect other customers of Customer or other reseller customers, and Customer agrees that HOSTLANTIC shall have no liability to Customer, any of its customers or any Reseller Customer due to such corrective action by HOSTLANTIC.

    This limitation of liability reflects an informed, voluntary allocation between the parties of the risks (known and unknown) that may exist in connection with this Agreement. The terms of this section shall survive any termination of this Agreement.


  12. Indemnification

    Customer agrees to indemnify, defend and hold harmless HOSTLANTIC and its parent, subsidiary and affiliated companies, and each of their respective officers, directors, employees, shareholders, attorneys and agents (each an "indemnified party" and, collectively, "indemnified parties") from and against any and all claims, damages, losses, liabilities, suits, actions, demands, proceedings (whether legal or administrative), and expenses (including, but not limited to, reasonable attorney's fees) threatened, asserted, or filed by a third party against any of the indemnified parties arising out of or relating to Customer's use of the Services, (ii) any violation by Customer of the TOS, (iii) any breach of any representation, warranty or covenant of Customer contained in this Agreement or (iv) any acts or omissions of Customer. The terms of this section shall survive any termination of this Agreement.


  13. General Provision

    1. Independent Contractor. HOSTLANTIC and Customer are independent contractors and nothing contained in this Agreement places HOSTLANTIC and Customer in the relationship of principal and agent, master and servant, partners or joint venture partners. Neither party has, expressly or by implication, or may represent itself as having, any authority to make contracts or enter into any agreements in the name of the other party, or to obligate or bind the other party in any manner whatsoever.
    2. Governing Law; Jurisdiction. Any controversy or claim arising out of or relating to this Agreement, the formation of this Agreement or the breach of this Agreement, including any claim based upon arising from an alleged tort, shall be governed by the substantive laws of the State of California) The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. ANY SUIT, ACTION OR PROCEEDING CONCERNING THIS AGREEMENT MUST BE BROUGHT IN A CALIFORNIA STATE OR FEDERAL COURT LOCATED IN LOS ANGELES COUNTY, CALIFORNIA, AND EACH OF THE PARTIES HEREBY IRREVOCABLY CONSENTS TO THE EXCLUSIVE JURISDICTION OF SUCH COURTS (AND OF THE APPROPRIATE APPELLATE COURTS THEREFROM) IN ANY SUCH SUIT, ACTION OR PROCEEDING AND IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY OBJECTION WHICH IT MAY NOW OR HEREAFTER HAVE TO THE LAYING OF THE VENUE OF ANY SUCH SUIT, ACTION OR PROCEEDING IN ANY SUCH COURT OR THAT ANY SUCH SUIT, ACTION OR PROCEEDING WHICH IS BROUG HT IN ANY SUCH COURT HAS BEEN BROUGHT IN AN INCONVENIENT FORUM.
    3. Headings. The headings herein are for convenience only and are not part of this Agreement.
    4. Entire Agreement; Amendments. This Agreement, including documents incorporated herein by reference, supersedes all prior discussions, negotiations and agreements between the parties with respect to the subject matter hereof, and this Agreement constitutes the sole and entire agreement between the parties with respect to the matters covered hereby. In case of a conflict between this Agreement and any purchase order, service order, work order, confirmation, correspondence or other communication of Customer or HOSTLANTIC, the terms and conditions of this Agreement shall control. No additional terms or conditions relating to the subject matter of this Agreement shall be effective unless approved in writing by any authorized representative of Customer and HOSTLANTIC) This Agreement may not be modified or amended except by another agreement in writing executed by the parties hereto; provided, however, that these Terms of Service may be modified from time to time by HOSTLANTIC in its sole discretion, which mod ifications will be effective upon posting to HOSTLANTIC 's web site.
    5. Severability. All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.
    6. Notices. All notices and demands required or contemplated hereunder by one party to the other shall be in writing and shall be deemed to have been duly made and given upon date of delivery if delivered in person or by an overnight delivery or postal service, upon receipt if delivered by facsimile the receipt of which is confirmed by the recipient, or upon the expiration of five days after the date of posting if mailed by certified mail, postage prepaid, to the addresses or facsimile numbers set forth below the parties' signatures. Either party may change its address or facsimile number for purposes of this Agreement by notice in writing to the other party as provided herein. HOSTLANTIC may give written notice to Customer via e-mail to the Customer's e-mail address as maintained in HOSTLANTIC 's billing records.
    7. Waiver. No failure or delay by any party hereto to exercise any right or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy by any party preclude any other or further exercise thereof or the exercise of any other right or remedy. No express waiver or assent by any party hereto to any breach of or default in any term or condition of this Agreement shall constitute a waiver of or an assent to any succeeding breach of or default in the same or any other term or condition hereof.
    8. Assignment; Successors. Customer may not assign or transfer this Agreement, or any of its rights or obligations hereunder, without the prior written consent of HOSTLANTIC) Any attempted assignment in violation of the foregoing provision shall be null and void and of no force or effect whatsoever. HOSTLANTIC may assign its rights and obligations under this Agreement, and may engage subcontractors or agents in performing its duties and exercising its rights hereunder, without the consent of Customer. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and permitted assigns.
    9. Limitation of Actions. No action, regardless of form, arising by reason of or in connection with this Agreement may be brought by either party more than two years after the cause of action has arisen.
    10. Counterparts. If this Agreement is signed manually, it may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. If this Agreement is signed electronically, HOSTLANTIC 's records of such execution shall be presumed accurate unless proven otherwise.
    11. Force Majeure. Neither party is liable for any default or delay in the performance of any of its obligations under this Agreement (other than failure to make payments when due) if such default or delay is caused, directly or indirectly, by forces beyond such party's reasonable control, including, without limitation, fire, flood, acts of God, labor disputes, accidents, acts of war or terrorism, interruptions of transportation or communications, supply shortages or the failure of any third party to perform any commitment relative to the production or delivery of any equipment or material required for such party to perform its obligations hereunder.
